By accessing our site or signing up for a plan, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Provided

Neural Spark Media offers digital marketing solutions, including but not limited to:

• Website Development: High-converting websites fitted with on-page website Search Engine Optimization (SEO).

• Automation Software: SMS and email follow-up, missed call text-back, and lead management for appropriate plans.

• SEO & Marketing: On-page SEO and reviews automation.

• Mobile App: Access to our lead management app and integration tools.

2. Subscription Plans and Payments

By signing up for a plan, you agree to the following financial terms:

• Setup Fees: A non-refundable setup fee ($1,000 for Starter, $2,000 for Growth, $3000 for Professional) is due at the start of the project.

• Monthly Subscriptions: Monthly fees ($97 for Starter, $297 for Growth, $697 for Professional) are billed in advance and recur automatically.

• Payment Processing: If you use our payment processing features, you are responsible for any third-party transaction fees.

• Late Payments: We reserve the right to suspend your website or automation services if monthly payments are not kept current.

3. Client Responsibilities

To ensure the success of your project, you agree to:

• Provide necessary business information, access to domain settings, logos, and content in a timely manner.

• In order to use SMS/Text messaging, you are required to obtain an SMS-ready phone number ($5) and process the proper registration as a bulk SMS sender ($50). These fees are subject to change by third-party providers.

• Ensure all data and contact lists used for SMS/Email automation comply with local laws (e.g., TCPA, GDPR).

• Maintain the security of your account credentials for the Lead Management App.

4. Intellectual Property

• Our Tools: Neural Spark Media retains all rights to our proprietary automation software, workflows, and templates.

• Your Content: You retain ownership of the specific content (text, images, branding) you provide for your website.

• License: Upon full payment, we grant you a non-exclusive license to use the website and tools provided for your business operations.

5. SMS and Email Compliance

Our services include automated SMS and email follow-ups. You represent and warrant that:

• You have obtained proper consent from leads before contacting them. Our software and websites will obtain the proper consent from new leads for you. You are responsible to have proper consent from your customers before your relationship with Neural Spark Media.

• You will provide a clear "opt-out" or "unsubscribe" mechanism in all initial communications with your customers. Our software will include this opt-out mechanism within automated messages periodically.

• Neural Spark Media is not liable for any legal action resulting from your misuse of automated communication tools.

6. Limitation of Liability

Neural Spark Media provides services on an "as-is" basis. We do not guarantee specific revenue increases or lead conversion rates. To the maximum extent permitted by law, Neural Spark Media shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.

7. Termination

• By You: You may cancel your monthly subscription at any time by sending an email to [email protected] at least 10 calendar days before the next billing cycle. There will be no refunds for any partial month membership. Setup fees remain non-refundable.

• By Us: We reserve the right to terminate service for any breach of these terms or illegal activity.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
